These Terms and Conditions ("Terms") govern your use of the website located at chang-arch.biz and the consulting services provided by Chang Arch ("we", "our", or "the Company"). By using this website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.
These Terms are governed by the laws of the Kingdom of Thailand and are subject to the jurisdiction of Thai courts.
1. About Chang Arch
Chang Arch is a business consulting firm based in Bangkok, Thailand. We provide advisory services to founders, executives, and organisations, including business model advisory, process documentation, and investor readiness preparation. Our services are provided on a professional engagement basis as described in individual service agreements and scopes of work.
2. Use of This Website
You may use this website for lawful purposes only. You agree not to:
- Use this website in any way that violates applicable local, national, or international law or regulation.
- Transmit any unsolicited or unauthorised advertising or promotional material.
- Attempt to gain unauthorised access to any part of the website or its supporting systems.
- Use automated tools to scrape, copy, or monitor website content without our prior written permission.
- Upload or transmit any content that is harmful, defamatory, offensive, or technically disruptive.
We reserve the right to suspend or restrict access to the website for any user who violates these conditions.
3. Service Engagements
Our consulting services are delivered under individual service agreements that specify the scope, deliverables, timeline, fees, and other terms applicable to each engagement. These Terms apply generally; where a specific service agreement conflicts with these Terms, the service agreement will take precedence.
Enquiries submitted via our website or by phone are not binding commitments on either party. An engagement begins only upon the execution of a formal written agreement and receipt of the applicable deposit payment.
4. Fees and Payment Terms
Service fees are as published on our website or as agreed in writing in your service agreement. Standard payment terms are as follows:
- Business Model Clarity Session (฿6,900): Payment in full is due upon signing the engagement agreement and before the first session commences.
- Process Documentation and Standardisation (฿18,200): A deposit of 50% is due upon signing. The remaining 50% is due upon delivery of the final process library.
- Investor Readiness Preparation (฿37,800): A deposit of 40% is due upon signing. A second payment of 30% is due at the midpoint of the engagement. The final 30% is due upon completion of the final deliverables.
All fees are quoted and payable in Thai Baht (฿) and are exclusive of applicable taxes. Payments are accepted by bank transfer to the account details provided in your service agreement. We do not accept cash payments.
Invoices not settled within 14 days of their due date may be subject to a late payment fee of 1.5% per month on the outstanding balance.
5. Cancellation and Rescheduling
We understand that circumstances change. Our cancellation terms are as follows:
- Cancellations made more than 14 days before the scheduled engagement start date: Full deposit refund, less a 10% administrative fee.
- Cancellations made between 7 and 14 days before the start date: 50% of the deposit is refundable.
- Cancellations made fewer than 7 days before the start date: The deposit is non-refundable.
- Cancellations after an engagement has commenced: Fees for work completed to the date of cancellation are non-refundable. Remaining fees are not payable.
Requests to reschedule an engagement may be accommodated where reasonable notice is provided and subject to consultant availability. Rescheduling is not treated as a cancellation if the engagement proceeds within 60 days of the original start date.
6. Intellectual Property
Our pre-existing materials: All methodologies, frameworks, templates, and tools developed by Chang Arch prior to or independently of your engagement remain the exclusive intellectual property of Chang Arch. These are licensed to you for use within your organisation for the purposes of implementing the recommendations from your engagement, but not for resale, distribution, or sublicensing.
Engagement deliverables: Written deliverables produced specifically for your engagement (such as clarity memos, process documentation, and financial model review memos) are owned by you upon full payment of all engagement fees.
Website content: All content on this website, including text, design, and imagery, is the property of Chang Arch or its licensors and may not be reproduced without written permission.
7. Confidentiality
We treat all information shared with us during an engagement as confidential. We will not disclose your business information to third parties without your consent, except where required by law or with the prior written agreement of both parties. In return, we ask that you treat our methodologies, frameworks, and working documents as confidential and not share them with third parties who are not directly involved in implementing the recommendations from your engagement.
8. Limitation of Liability
Our consulting services are advisory in nature. We provide perspectives, analysis, and structured recommendations, but the decisions you make based on those recommendations are your own. We are not responsible for business outcomes resulting from your implementation of, or failure to implement, our recommendations.
To the extent permitted by applicable law, Chang Arch's total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement. We exclude liability for indirect, consequential, or incidental loss including loss of profit, loss of data, or loss of business opportunity.
Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
9. No Guarantee of Outcomes
Business consulting involves working with complex and dynamic situations. While we bring diligence, experience, and structured thinking to every engagement, we do not make representations about specific outcomes, results, or the performance of your business following our engagement. Every business situation is different, and results will depend on factors beyond our control including market conditions, your team's execution, and external circumstances.
10. Website Accuracy
We take reasonable care to ensure the information on this website is accurate and current. However, information may become outdated or contain errors. We make no representations or warranties about the completeness, accuracy, or suitability of any information on this site. Service descriptions, fees, and team information are subject to change without notice.
11. Third-Party Links
This website may link to third-party websites for information purposes. We have no control over the content of those sites and accept no responsibility for them or for any loss arising from your use of them.
12. Changes to These Terms
We may revise these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the website or our services after changes are posted constitutes your acceptance of the revised Terms. For existing engagements, the Terms in effect at the time of signing your service agreement will continue to apply unless you agree otherwise in writing.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these Terms or our services shall first be subject to good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be referred to mediation before proceedings are commenced in a Thai court of competent jurisdiction.
